Acceptable Use Policy

This Acceptable Use Policy (this “Policy”) sets out the rules that keep the Updrone, Inc. platform, websites, mobile applications, APIs, capture clients, and related services (the “Service”) safe, lawful, and reliable for everyone. It expands on the acceptable-use commitments in our Terms of Service (/terms) and applies to everyone who accesses or uses the Service — tenant businesses, their authorized users, their contractors, and their end customers alike.

This Policy is incorporated into the Terms by reference and forms part of them. Capitalized terms used but not defined here have the meanings given in the Terms. If any part of this Policy conflicts with the Terms, the Terms govern.

Violating this Policy can lead to the removal of content and the suspension or termination of access, as described in Section 11. The prohibitions in Sections 5, 6, and 8 also protect intellectual property and confidential information, and a breach of any of them may entitle us to injunctive relief in addition to any other remedy, as the Terms provide.

You are responsible for the legality of everything submitted under your workspace and for having the rights needed to collect, upload, process, publish, and retain it. Section 8 of the Terms sets out those obligations in full for imagery of people and property.

If you believe you have found a security vulnerability, report it to support@updrone.com before doing anything further. We investigate every report we receive and will not pursue a good-faith researcher who reports responsibly and does not access, alter, or exfiltrate data beyond what is necessary to demonstrate the issue. Testing that goes further than that is not covered by this paragraph.

We may impose and enforce reasonable technical limits, and we will make material limits discoverable in the Documentation or in the product. Where usage materially exceeds a limit or degrades the Service for others, we may throttle it after notice, or immediately where the effect on the Service or on other tenants requires it.

The Service is licensed to you, not sold. Nothing in your subscription conveys ownership of the software, models, interfaces, or systems that make up the Service, and the restrictions in this Section are conditions of the licence granted in Section 3 of the Terms.

Where the law says otherwise

These restrictions do not apply to the extent — and only to the extent — that applicable law expressly permits the activity notwithstanding a contractual prohibition. That includes the right to decompile for interoperability purposes under Article 6 of Directive 2009/24/EC and the national laws implementing it, and the right to observe, study, or test the functioning of the software to determine its underlying ideas and principles under Article 5(3) of that Directive. Nothing in this Policy purports to exclude a right that cannot lawfully be excluded, and any provision of this Section that would do so applies only to the extent the law permits.

Before undertaking any such activity, contact us at support@updrone.com and tell us what interoperability you need. We undertake to provide the interoperability information reasonably necessary to achieve it, on reasonable and non-discriminatory terms and within a reasonable period. We would rather give you what you need than have you derive it, and doing so is usually faster for you than the alternative.

The restrictions in this Section survive the termination of your subscription and of these agreements.

Information about the Service that is not public — including non-public features, previews, roadmap, pricing other than publicly listed rates, and performance characteristics — is our Confidential Information under Section 11 of the Terms, and this Section is in addition to your obligations there.

What this Section does not do

THIS SECTION IS A RESTRICTION ON HOW YOU MAY USE WHAT UPDRONE LICENSES TO YOU. IT IS NOT A COVENANT NOT TO COMPETE, AND IT DOES NOT RESTRAIN ANY PERSON’S RIGHT TO ENGAGE IN A LAWFUL PROFESSION, TRADE, OR BUSINESS, TO WORK FOR ANY EMPLOYER, OR TO COMPETE WITH UPDRONE GENERALLY.

Nothing in this Section prevents you or anyone else from independently developing, acquiring, marketing, or operating any product or service — including one that competes with Updrone — provided you do so without using the Service, the Documentation, our Confidential Information, or anything derived from them, and without breaching Section 5. Your own personnel remain free to work wherever they choose. This Section restricts the use of our property; it does not restrict anyone's liberty to compete.

If a court of competent jurisdiction determines that any part of this Section is unenforceable, that part will be modified to the minimum extent necessary to make it enforceable, or if it cannot be, severed, and the remainder of this Section and this Policy will continue in full force.

Updrone is software. Updrone does not fly, pilot, certify, or authorize anything, and nothing in the Service constitutes airspace authorization, a regulatory approval, a certification, or a professional sign-off. Any status, label, checklist, or record shown in the Service reflects information you supplied or third-party data displayed for reference, and is for your reference only.

You may not present any Updrone status, label, checklist, output, or record — to a customer, a regulator, an insurer, a court, or anyone else — as a regulatory approval, an airspace authorization, a certification, a professional sign-off, or a representation by Updrone that an operation is permitted, safe, or compliant. Outputs are not survey-grade unless your own ground control, such as RTK positioning or surveyed ground control points, justifies that accuracy; you remain responsible for confirming the accuracy and fitness of every deliverable, as described in the Terms.

You may not state or imply that Updrone has reviewed, verified, endorsed, certified, or approved your work, your credentials, your insurance, or any deliverable you produce, or that Updrone is a party to any agreement between you and your end customer.

Output is generated by statistical prediction and may be inaccurate, incomplete, or wrong. You are responsible for reviewing and verifying it before relying on it or providing it to an end customer, as Section 10 of the Terms requires.

THE SERVICE, THE DOCUMENTATION, ALL DELIVERABLES, ALL OUTPUT, AND EVERY FEATURE DESCRIBED IN THIS POLICY ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. SECTION 22 OF THE TERMS SETS OUT THESE DISCLAIMERS IN FULL AND GOVERNS.

This Section is stated here, and not only in the Terms, because this Policy describes controls a tenant might otherwise assume they can rely on. They cannot. In particular:

The compliance tooling is a control you configure and operate. It does not transfer to Updrone any obligation that the law places on you, and determining whether your use of the Service is lawful in your jurisdiction and for your purpose is your responsibility, as Section 22 of the Terms provides.

Enforcement of this Policy is a right we hold, not a duty we owe. We do not routinely monitor content or conduct and have no obligation to do so, our exercise or non-exercise of any right under this Policy does not make us responsible for content submitted by anyone, and our acting in one case creates no obligation to act in another.

You are responsible for the conduct of everyone you grant access to your workspace — your authorized users, team members, contractors, and end customers — and for the content they submit through the Service. Their acts and omissions under your workspace are treated as your own for the purposes of this Policy.

You agree to make the rules in this Policy known to the people you grant access, to provision and promptly deprovision their access appropriately, and to have the rights, permissions, and consents needed for the content submitted under your workspace. A violation of this Policy by anyone you grant access is a violation by you.

The restrictions in Sections 5 and 6 bind everyone you grant access on the same terms they bind you, and you are responsible for ensuring they are observed.

We will use reasonable efforts to give notice where practical, and to limit any action in scope and duration to what the circumstances require. We may act first and give notice afterward when a delay would risk harm, security, legal exposure, or the integrity of the Service.

Enforcement under this Policy is in addition to our other rights under the Terms and at law, including our rights to indemnification and to injunctive relief. Our decision not to act on a given violation does not waive our right to act on it, or on any other violation, later.

Report a suspected violation of this Policy, a security issue, or any question about this Policy to support@updrone.com. Say in the subject line what the message is about — “Abuse Report,” “Security,” or “Acceptable Use” — and include enough detail for us to investigate. That address is the only email address Updrone publishes, and it is monitored.
